Ounias Terms of Service

1. The Ounias Service

Ounias is a research data analysis platform for generating, evaluating, comparing, explaining, and preserving analytical outputs derived from structured datasets.

Depending on the features used, Ounias may provide functionality including:

• Data preparation and profiling
• Unsupervised and supervised machine learning
• Dimensionality reduction and projection
• Model and analysis evaluation
• Explainability and feature importance
• Stability assessment
• Longitudinal and trajectory analysis
• Comparison of analytical runs
• Reports and analytical summaries
• Analytical lineage and reproducibility tools
• Import, export, and connected-service functionality
• Publication of selected analytical outputs through Snapshots

Features may change or expand as the Service develops.

2. Research Use and Clinical Decision-Making

Ounias is designed to support research, exploration, analysis, and evaluation, including biomedical and clinical research.

Ounias is not a medical device and is not intended to independently diagnose, treat, prevent, or determine the clinical management of an individual patient.

Analytical outputs should be interpreted in their appropriate scientific and professional context and independently validated where required for their intended downstream use.

Ounias does not replace the judgment of researchers, clinicians, statisticians, data scientists, or other qualified professionals.

3. Eligibility and Accounts

You must be at least 18 years old to independently create an Ounias account, unless your use is authorized through an appropriate institutional or other arrangement permitted by applicable law.

You are responsible for:

• Providing accurate account information
• Maintaining control over access to your account
• Activity performed through your account
• Promptly notifying Ounias if you believe your account has been compromised

Ounias may use third-party authentication providers to create and secure accounts.

You may not access another user's account or allow another person to use your account in a manner that bypasses applicable access, subscription, or security controls.

4. Customer Data

“Customer Data” means datasets, files, models, information, and other material that you upload, import, connect, or otherwise provide to Ounias, together with customer-specific analytical outputs generated from that material.

Your data remains yours

As between you and Ounias, you retain your rights in the Customer Data you provide.

Ounias does not claim ownership of your uploaded datasets.

Ounias also does not claim ownership of customer-specific analytical outputs generated from your Customer Data, such as labels, models, embeddings, metrics, explanations, reports, or other analytical artifacts, except for Ounias software, methods, interfaces, and other underlying platform components incorporated into or used to create those outputs.

Permission to process your data

You grant Ounias the limited rights necessary to host, store, copy, process, transform, and otherwise handle Customer Data solely as needed to:

• Provide functionality you request
• Maintain and secure the Service
• Provide support
• Comply with applicable legal obligations

Ounias's handling of Customer Data is further described in the Privacy Policy.

5. Your Responsibility for Data

You are responsible for ensuring that you have the rights, permissions, authorizations, and legal basis required to provide Customer Data to Ounias and use it for your intended purposes.

Research datasets may contain personal, health-related, confidential, proprietary, or otherwise sensitive information.

Ounias encourages users to minimize unnecessary identifying information where appropriate. For example, where an analysis requires age but not an exact date or year of birth, using age can reduce unnecessary identifying information.

Ounias may provide tools that help replace or generate identifiers, but Ounias does not independently determine whether a dataset is anonymous, de-identified, pseudonymized, lawfully obtained, or appropriate for a particular regulatory or research context.

You remain responsible for determining whether:

• You are permitted to process the data
• Consent or another legal basis is required
• Institutional or ethical approval is required
• Data should be de-identified or minimized
• Particular regulatory or contractual requirements apply
• Ounias is appropriate for the intended use

Nothing in this section limits obligations that Ounias itself has under applicable law.

6. Analytical Outputs

Ounias uses computational, statistical, and machine-learning methods that may produce outputs including classifications, clusters, predictions, embeddings, feature importance, rules, metrics, comparisons, reports, and other analytical results.

These outputs may be affected by factors including:

• Data quality
• Dataset composition
• Sampling
• Feature selection
• Model assumptions
• Configuration
• Statistical uncertainty
• Algorithmic limitations
• Interpretation

Ounias provides tools intended to help users understand, evaluate, compare, and reproduce analytical results, but does not guarantee that any output is scientifically correct, complete, suitable for a particular research question, or appropriate for a particular downstream decision.

You are responsible for evaluating analytical outputs in the context in which you intend to use them.

7. Model Training

Some Ounias workflows may fit or train analytical models using Customer Data when requested by the user.

Models and model artifacts generated through these workflows form part of the user's analytical work and are subject to the applicable Customer Data controls.

Ounias does not use Customer Data to train general-purpose Ounias models, models for unrelated customers, or models for advertising purposes.

Users may also be able to import or connect external models. You are responsible for ensuring that you have the right to use any model or related material you provide to Ounias.

8. Acceptable Use

You may not use the Service to:

• Violate applicable law or regulation
• Upload or process material you are not authorized to use
• Infringe intellectual-property, privacy, confidentiality, or other rights of another person
• Attempt to gain unauthorized access to another user's account, data, project, or resources
• Probe, attack, disrupt, overload, or compromise the Service or its infrastructure
• Introduce malware, malicious code, or deliberately harmful models or files
• Reverse engineer or attempt to obtain non-public source code except where such restriction is prohibited by law
• Circumvent usage limits, credits, quotas, payment requirements, access controls, or security safeguards
• Use automated methods in a manner that unreasonably interferes with operation of the Service
• Misrepresent Ounias outputs as independently validated, clinically approved, or regulatory-approved where they are not

Ounias may restrict or suspend activity that reasonably appears to violate these Terms or create a security, legal, or operational risk.

9. Ounias Intellectual Property

The Ounias software, platform, interfaces, branding, documentation, architecture, designs, and general-purpose methods are owned by or licensed to Ounias and are protected by applicable intellectual-property laws.

These Terms give you a limited, non-exclusive, non-transferable right to use the Service in accordance with your applicable plan and these Terms.

They do not transfer ownership of the Ounias platform or its underlying technology to you.

The Service may incorporate open-source software or third-party technology subject to separate licenses. Those licenses continue to apply to the relevant components.

If you voluntarily provide feedback or suggestions about Ounias, Ounias may use that feedback to develop or improve the Service without an obligation to compensate you.

10. Subscriptions, Payments, Credits, and Usage Limits

Ounias may offer free, paid, subscription, usage-based, or one-time products.

The applicable price, billing period, included features, compute allowances, storage limits, credits, or other usage limits are presented when you select or purchase the relevant product.

Where a subscription automatically renews, it will continue until cancelled in accordance with the cancellation process provided at purchase.

Where Ounias uses credits, quotas, storage allowances, or similar limits, those limits do not represent money or stored monetary value and cannot be exchanged for cash unless expressly stated otherwise.

Additional compute, storage, or other capacity may be available through upgrades or top-ups.

Paddle

Purchases made through Paddle are processed by Paddle as Ounias's online reseller and Merchant of Record.

Payments processed through Paddle are also subject to Paddle's applicable Buyer Terms and payment policies.

Ounias does not receive or store full payment-card information for transactions processed by Paddle.

Cancellation and refunds

Subscriptions may be cancelled through the applicable subscription-management process. Cancellation normally takes effect at the end of the current paid billing period unless applicable law or the terms displayed at purchase provide otherwise.

Refund requests for purchases processed through Paddle are handled through Paddle in accordance with applicable law, Paddle's policies, and any refund terms presented at purchase.

Nothing in these Terms limits statutory cancellation, withdrawal, refund, or consumer rights that cannot legally be waived.

11. Third-Party Services and Integrations

Ounias may allow you to connect third-party services such as data-storage providers, workflow tools, model platforms, or other integrations.

Your use of those services remains subject to their own terms, policies, availability, and technical requirements.

When you authorize an integration, you authorize Ounias to exchange the information required to perform the functionality you selected.

Raw Customer Data may be imported into Ounias from a service you explicitly select as a data source.

Ounias does not send raw Customer Data from Ounias to connected third-party services. Outbound integrations are limited to user-selected analytical outputs, models, summaries, artifacts, visualizations, metadata, or similar results supported by the integration.

Ounias is not responsible for outages, changes, discontinuation, security incidents, or other conduct of third-party services outside Ounias's reasonable control.

12. Snapshots and Publication

Ounias may allow users to create a Snapshot containing a preserved analytical representation of selected work.

Publishing a Snapshot is an explicit publishing action.

Current public Snapshots are accessible to anyone who obtains the unique Snapshot link. You should therefore only publish information that you are authorized and willing to make public.

Snapshots do not intentionally expose the underlying raw dataset.

You are responsible for ensuring that:

• You have the right to publish the selected content
• Publication does not violate confidentiality, privacy, intellectual-property, contractual, institutional, or legal obligations
• Any attribution, organization, publication, or contact information you choose to display may lawfully be made public

Ounias may remove or restrict access to a Snapshot where reasonably necessary to address unlawful content, infringement, security concerns, abuse, legal obligations, or violations of these Terms.

Any applicable Snapshot duration, extension period, or other purchase terms will be shown when the Snapshot is created or purchased.

13. Service Availability and Changes

Ounias aims to provide a reliable Service but does not guarantee uninterrupted or error-free availability.

The Service may occasionally be unavailable because of:

• Maintenance
• Infrastructure failures
• Third-party service failures
• Security events
• Software defects
• Network issues
• Events outside Ounias's reasonable control

Ounias may add, modify, replace, limit, or discontinue features as the product develops.

Features identified as pilot, beta, experimental, preview, or similar may change more frequently and may be subject to additional limitations.

Where reasonably practical, Ounias will avoid changes that unnecessarily prevent users from accessing or exporting existing work.

14. Privacy and Security

Ounias handles personal information and Customer Data in accordance with the Ounias Privacy Policy.

Ounias uses technical and organizational measures intended to protect information against unauthorized access, disclosure, alteration, loss, and misuse.

No internet-based or cloud-based system can guarantee absolute security.

You are responsible for using reasonable safeguards appropriate to your data and research context, including limiting unnecessary identifying information and controlling access to your Ounias account.

15. Suspension and Termination

You may stop using Ounias or cancel a subscription at any time.

Ounias may suspend or terminate access where reasonably necessary because of:

• A material violation of these Terms
• Non-payment
• Fraud or suspected fraud
• Security risks
• Abuse of the Service
• Legal or regulatory requirements
• Conduct that materially threatens Ounias, its infrastructure, or other users

Where appropriate and reasonably possible, Ounias will provide notice and an opportunity to remedy the issue before terminating access.

Immediate action may be taken where delay could create a material security, legal, financial, or operational risk.

Data after a subscription ends

Unless you delete your data earlier, Ounias may retain Customer Data and associated analyses for up to 90 days after a subscription ends so that you can reactivate without unexpectedly losing your work.

After that period, the data is deleted or anonymized in accordance with the Privacy Policy unless a different period is required by law or an applicable institutional agreement.

An explicit user deletion request is not subject to this 90-day reactivation period.

16. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Service is provided on an “as is” and “as available” basis.

Ounias does not warrant that:

• The Service will always be available or error-free
• Every analytical method will be appropriate for every dataset
• Analytical outputs will be accurate, complete, scientifically valid, or suitable for a particular purpose
• Use of the Service will satisfy every regulatory, institutional, ethical, or contractual requirement applicable to your work
• Third-party services will remain available or unchanged

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

17. Limitation of Liability

To the maximum extent permitted by applicable law, Ounias will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for loss of profits, revenue, business opportunities, goodwill, or anticipated savings arising from use of the Service.

Ounias is not responsible for research, clinical, commercial, operational, or other decisions made solely on the basis of analytical outputs without appropriate independent evaluation.

To the maximum extent permitted by applicable law, Ounias's aggregate liability arising out of or relating to the Service or these Terms will not exceed the amount paid by the user for the Service during the 12 months preceding the event giving rise to the claim.

These limitations do not apply where liability cannot lawfully be limited or excluded.

18. Indemnification

To the extent permitted by applicable law, you agree to indemnify Ounias against third-party claims, losses, liabilities, and reasonable expenses arising from:

• Customer Data or other material you provide
• Your infringement of a third party's rights
• Your unlawful use of the Service
• Your publication of material through a Snapshot
• Your material violation of these Terms

This section does not require you to indemnify Ounias for claims caused by Ounias's own unlawful conduct or where indemnification is prohibited by law.

19. Governing Law and Disputes

These Terms are governed by the laws of the State of Israel, without regard to conflict-of-law principles.

Subject to any mandatory rights or jurisdiction that cannot legally be waived, disputes arising from these Terms or the Service will be subject to the competent courts of Tel Aviv-Jaffa, Israel.

Nothing in this section limits consumer or other statutory rights that applicable law does not permit the parties to exclude.

20. Changes to These Terms

Ounias may update these Terms as the Service, its business model, or applicable legal requirements evolve.

Where changes are material, Ounias will provide reasonable notice through the Service, by email, or through another appropriate method.

Updated Terms will apply from the stated effective date.

If you do not agree to updated Terms, you may stop using the Service before they take effect.

Continued use of the Service after updated Terms take effect constitutes acceptance of the updated Terms where permitted by applicable law.

21. General

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply.

A failure by Ounias to enforce a provision of these Terms does not waive the right to enforce it later.

These Terms, together with the Privacy Policy and any additional terms expressly applicable to a purchased product, institutional arrangement, or specific feature, form the agreement between you and Ounias concerning use of the Service.
